Job Overview

As a Senior Manager, LTI/Stock Compensation, you will play a key role in leading the equity team responsible for our company's equity programs (RSU/PSU) including change management, scaling and enhancing processes, controls and financial reporting. This role will oversee general Equity administration functions. This position is key in maintaining, designing and implementing core operation processes within our Global Equity program. Success in this role requires practical problem-solving skills, understanding of global equity administration, particularly knowledge of Japanese equity systems. Cross-functional collaboration, flexibility, and the ability to develop strategies for our unique equity programs are essential.

Responsibilities

Management of all operational processes relating to stock-based compensation

  • Facilitate all aspects of the Company's equity programs, including processing of new grants, vesting, Sell to Cover as well as the review of equity transactions, terminations, and cancellations
  • Ensure compliance with company policies, relevant accounting guidance, securities laws, domestic and international tax regulations
  • Generate and maintain reporting of stock-based compensation data for accounting in accordance with IFRS and provide support to external auditors for annual audits

Stakeholder Management

  • Coordinate with the HR, Payroll, Legal, Third-party vendor and outside attorney regularly to ensure efficiency in equity-related processes and resolve issues as they arise
  • Work closely with cross-functional teams to implement and maintain appropriate controls around equity compensation processes

Communication & Training

  • Lead employee trainings and communications around equity compensation in both English and Japanese and respond to employee inquiries regarding the equity incentive plan.

Executive Compensation Support

  • Organizing disclosure data for shareholders' meetings, business reports, and securities reports
  • Checking and reviewing PSU metrics for alignment with market standards

Program Management

  • Evaluate Annual Grant and New Hire guidelines are at market level and revising as appropriate
  • Additional responsibilities for special projects as needed (e.g., Considerations for Roll over grants during acquisitions, etc.)

Leadership & Team Management

  • Lead and mentor a team of compensation and benefits specialists, fostering a performance-driven and collaborative culture.
  • Set team objectives, identify development opportunities, and implement strategies to build functional expertise.

Compliance & Risk Management

  • Monitor and ensure compliance with local labor laws and global corporate governance, working with relevant advisors as needed.
