Legal Counsel

About the role

Appriss Retail is seeking legal counsel to assist its internal legal team with management of contract, compliance, corporate governance, and other corporate legal matters.  

What you'll do

• Contractual & Commercial Support 

• • Draft, review, and negotiate: complex SaaS agreements, master service agreements (MSAs), reseller arrangements, partnership agreements, and enterprise vendor agreements.  

• • Collaborate with sales and go-to-market teams: to assist in structuring deals and facilitate the negotiation and approval process for corporate sales.  

• Data Privacy & Security 

• • Ensure compliance: with relevant data privacy laws and negotiate appropriate DPAs.  

• Strategic Advisory 

• • Advise internal stakeholders: on legal issues related to operations, HR, marketing, finance, and strategic initiatives.  

• • Provide legal insights: and support to cross-functional teams and senior leadership.  

• Risk Management & Litigation 

• • Manage or assist with litigation, disputes, and legal claims, often by managing outside counsel engagements.  

• Corporate Governance 

• • Support corporate governance: matters, such as board resolutions and entity filings.  

• • Manage or assist with corporate insurance program, by assisting in the renewal process, processing COI requests, and tracking insurance requirements by customers. 

• Cross-Functional Collaboration 

• • Partner with product, engineering, sales, and privacy teams: to identify and mitigate corporate risk. 

Qualifications

• JD from an accredited law school. 

• 1-4 years’ experience in legal field, preferably in a corporate firm or in house position. 

• Excellent written and verbal communication skills. 

• Strong organization and attention to detail. 

• Ability to work and communicate effectively with all levels of an organization. 

• Experience in using legal database / contract management software (preferably Salesforce and/or Conga for Salesforce). 

• Excellent critical thinking and problem-solving skills. 

• Ability to work independently and manage priorities. 

Preferred Qualifications

• Experience with SaaS Agreements. 

• Experience and understanding of U.S. and international data privacy laws and the contractual requirements associated therewith. 

• Experience with corporate insurance. 

• Experience coordinating / managing governance documents and filings.
