Role Overview

We are seeking a Legal Counsel to join our growing legal and compliance function in Malta. This role offers an exciting opportunity for a proactive, detail-oriented, and business-minded professional to manage a wide range of legal matters, including contract management, corporate governance, compliance, and data protection.
You will act as a trusted advisor to management and internal teams, ensuring that the group’s operations align with applicable legislation, internal policies, and regulatory expectations.

Key Responsibilities

1. Contract Management

  • Draft, review, and negotiate agreements with external counterparties (suppliers, partners, financial institutions, IT vendors, marketing agencies, etc.) for Colibrix group companies in Malta.
  • Ensure contractual terms comply with applicable laws, internal policies, and company interests.
  • Manage the document execution process via DocuSign or other e-signature tools (agreements, board resolutions, internal approvals).
  • Review and update company Terms & Conditions, client agreements, and other onboarding-related documentation.
  • Support the Client Relations and Compliance teams with legal input on AML/KYC and regulatory matters.

2. Corporate Governance

  • Prepare and maintain corporate records, including board and shareholder resolutions, articles of association, registers of directors/shareholders, and meeting minutes.
  • Draft and coordinate internal policies and procedures, maintaining a centralised register and archive.
  • Collaborate with corporate secretaries to update legal databases, contract registers, and correspondence archives.
  • Ensure proper management, confidentiality, and secure storage of corporate documentation.

3. Compliance and Data Protection

  • Act as the Data Protection Officer (DPO), maintaining privacy policies, GDPR procedures, and internal training programmes.
  • Support the Compliance team in interpreting new regulations and updating internal policies accordingly.
  • Provide legal support for internal risk management, memos, and procedural documentation.

4. Internal Legal Support

  • Review and advise on internal documentation such as employment agreements, service contracts, and intercompany agreements.
  • Provide guidance to internal teams on matters of corporate governance, data protection, IP rights, and employment law.
  • Assist in coordinating audits, inspections, and regulatory requests, ensuring accuracy and compliance.

5. Legislative Monitoring and External Liaison

  • Monitor and analyse legal and regulatory developments relevant to the Group’s operations.
  • Coordinate with external law firms and consultants on complex legal and regulatory issues.

Requirements

  • Degree in Law; qualification to practice in an EU jurisdiction preferred.
  • 3–5+ years of experience in a corporate or in-house legal role, ideally in financial services, payments, or technology.
  • Strong understanding of contract law, corporate governance, GDPR, and compliance frameworks.
  • Excellent English communication skills (written and verbal).
  • High attention to detail, analytical mindset, and ability to work independently.
