Are you a seasoned legal professional with strong corporate experience, ready to make a significant impact in a high-growth environment? Atex Valeriano SpA is looking for a proactive Legal Counsel to build and manage their legal and compliance framework as they scale.
Atex is a dynamic organization in a high-growth phase. They are currently professionalizing their operations, moving from a startup footing to a more robust corporate structure, and seeking key professionals to guide that transition.
Purpose of the Role
This is a high-autonomy role essential for systematizing their compliance functions and establishing strong internal legal processes. The role involves providing comprehensive legal advice, overseeing general compliance, managing relationships with external counsel, and advising senior leadership.
Key Responsibilities
- Assist in negotiating and drafting commercial and vendor agreements.
- Provide legal advice on a wide range of issues, including corporate governance.
- intellectual property, data privacy and employment law.
- Conduct legal research to support decision-making processes and provide updates
- on applicable laws and regulations.
- Liaise with/coordinate external legal counsel as necessary for specialized legal
- support.
- Control and reduce overall external legal fees and expenses.
- Participate in litigation processes with external legal counsel.
- Ensure compliance with all relevant laws, regulations, and industry standards.
- Develop and implement risk management strategies to protect the organization.
- Advise senior management and other stakeholders on legal risks and opportunities.
- Ensure all legal and corporate compliance documentation is in proper standing.
- Monitor changes in legislation and update internal policies accordingly.
- Assist with corporate initiatives like employment and insurance matters.
- Participate in developing company policies on legal issues.
- Lead compliance projects.
- Act as the company’s Crime Prevention Officer (Law 21.595).
- Ensure all the material (policies, procedures and supporting documents) is
- developed, updated and implemented by the responsible areas.
- Any other miscellaneous tasks, as required.
Requirements
- Law Degree, Sworn in before the Supreme Court and registered with the Judiciary.
- 10-15 years of legal experience.
- Knowledge of corporate law and proven experience in regulatory and corporate compliance.
- High proficiency in English (written and verbal).
- Proficiency in legal research and Microsoft Office Suite.
