Regulatory & Compliance Specialist - Contracts
Location: Irving Texas, (Hybrid)
Reports To: Chief Financial Officer
Position Summary
iRely is seeking an experienced and detail-oriented Regulatory Contract Specialist to support our growing US and International operations. This role will be responsible for reviewing, analyzing, and validating regulatory compliance requirements across the countries in which we operate, as well as reviewing customer, vendor, and partner contracts to ensure legal, financial, and regulatory alignment.
The ideal candidate will have experience working with international contracts, multi-jurisdictional regulatory requirements, and cross-functional stakeholders. This individual will partner closely with Finance, Legal, Operations, and Executive Leadership to mitigate risk and ensure contractual and regulatory integrity.
Key Responsibilities
Regulatory & Compliance Oversight
- Review and monitor regulatory requirements in countries where the company operates (U.S., India, Philippines, and others as applicable).
- Validate corporate documentation, filings, and contractual language align with local laws and regulatory standards.
- Partner with external legal counsel when required to ensure jurisdictional compliance.
- Identify regulatory risks and recommend corrective actions.
- Maintain documentation related to international compliance requirements and updates.
Contract Review & Management
- Review customer, vendor, and partner contracts for:
- Regulatory compliance
- Commercial terms and risk exposure
- Indemnification clauses
- Payment terms and financial obligations
- Data privacy and confidentiality provisions
- Ensure contracts align with company policies and regulatory frameworks.
- Collaborate with Finance and Sales teams during contract negotiations.
- Recommend revisions to protect company interests and mitigate exposure.
- Support development of standardized contract templates and clauses.
- Serve as a liaison between Finance, Legal, Sales, and Executive Leadership.
- Provide contract interpretation guidance to internal stakeholders.
- Assist in internal audits and compliance reviews.
- Support implementation of best practices in international contract governance.
Qualifications
- Bachelor’s degree in business, Finance, Legal Studies, or related field (J.D. preferred but not required).
- 5+ years of experience in contract review, regulatory compliance, or corporate governance.
- Experience working with international contracts and multi-country regulatory environments.
- Strong knowledge of contract law principles and risk assessment.
- Experience reviewing ERP, SaaS, technology, services, or commercial software agreements preferred.
- Familiarity with international regulatory frameworks and compliance requirements.
- Strong analytical, negotiation, and written communication skills.
- High attention to detail and ability to manage confidential information with discretion.
- Ability to work independently while collaborating across global teams.
- Experience supporting operations in the U.S., India, and the Philippines.
