Job Overview

We're looking for a business-minded Legal Counsel to join our legal team as a generalist, working cross-functionally across sales, operations, customer success, and commercial partnerships. This person will be the second in-house attorney on staff and will play a key role in building out a legal function that touches dissolution operations, commercial contracting, licensing, vendor management, and regulatory compliance across multiple jurisdictions.

This role goes beyond a traditional in-house counsel role. You'll be responsible for customer-facing legal communications, sales support, and deal-risk reviews while building toward broader coverage across the full business. You should feel comfortable operating in a fast-paced environment and exercising independent judgment on legal questions.

Key Responsibilities

  • Provide practical, business-oriented legal advice to teams across the organization, including sales, operations, customer success, marketing, engineering and partnerships

  • Draft, review, and negotiate a range of commercial agreements, including licensing, vendor, and partner contracts

  • Advise the sales team on legal and regulatory questions arising in the customer acquisition process, including joining prospect and customer calls

  • Support customer-facing legal communications and escalations across the dissolution lifecycle

  • Conduct legal research and analysis to support expansion into new U.S. jurisdictions

  • Identify and assess legal risks across business initiatives and develop practical mitigation strategies

  • Help build and improve internal templates, playbooks, and processes that enable teams to move faster while managing risk

  • Review customer-facing and marketing materials for legal and regulatory compliance

  • Coordinate with outside counsel on specialized matters as needed

  • Take on additional projects and priorities as the business scales

Desired Skills & Qualifications

  • JD from an ABA-accredited law school; active membership in good standing with at least one U.S. state bar

  • 2-4 years of legal experience, ideally a mix of law firm and in-house

  • Strong commercial instincts: comfortable reviewing contracts, spotting risk, and advising business teams without over-lawyering

  • Excellent communicator who can translate complex legal concepts into clear, actionable guidance for non-legal stakeholders

  • Detail-oriented with strong drafting skills

  • Comfortable operating independently in a fast-paced startup environment with limited supervision

  • Interest in or exposure to corporate dissolution, licensing or data privacy is a plus but not required

  • Prior experience in corporate transactions, commercial contracting, or general in-house practice is a plus but not required
