Legal Counsel - Funds

Job Overview

Position Overview:

  • Assist with drafting and reviewing fund documentation, including offering memoranda, partnership agreements and IMAs.
  • Assist with negotiating IMAs with third party managers.
  • Assist with investor relation matters, including onboarding new investors, negotiating investor side letters and dealing with investor specific requests.
  • Manage new entity set-ups, including drafting and negotiating operative documents and handling signings/closings.
  • Manage the liquidation process of entities no longer in use.
  • Review documentation for private investments.
  • Assist with managing seed deals, as well as the launch of new business lines.
  • Assist with project management, including drafting and maintaining transaction management plans, liaising with other internal teams and handling signings/closings.
  • Coordinate and draft board resolutions, corporate authorisations and ancillary documents across group structure.
  • Coordinate and liaise with external directors other departments, including COO office, fund accounting, compliance, operations, tax and investor facing teams.
  • Assist with ad-hoc maintenance matters (audit, tax, KYC requests etc.).

There is no typical day for this Legal Counsel. The role’s duties will be varied and will include a mix of funds and investments work, as well as involvement on ad hoc matters as necessary. The working environment is multi-disciplinary, collaborative and non-hierarchical. The successful candidate will be required to (a) take ownership of matters and (b) work closely with other teams (also located in different jurisdictions) and senior management. The Legal Counsel will report to a more senior member of the legal team.

 

Required Qualifications: 

  • 4 + years PQE (or equivalent).
  • Previous experience/training in a top-tier transaction firm, as well as in-house experience (preferable).
  • Previous experience in a wide range of Investment funds work willingness to broaden skill set.
  • Enthusiasm for a variety of legal areas.
  • Excellent attention to detail.
  • Pro-active and ability to think outside-the-box in order to provide solutions.
  • Strong interpersonal, organisational and communication (both written and verbal) skills.
  • Ability to work well with colleagues across multiple regions and time zones.
  • Capacity to prioritise, manage multiple tasks and work within tight deadlines.
  • Willingness to support a growing team based in different jurisdictions on a broad range of matters.
